NegCraft End User License Agreement

This End User License Agreement governs the installation, activation, and use of NegCraft software by Out of Gamut Studios LLC.

Please read this agreement carefully before purchasing, downloading, installing, activating, or using NegCraft. By installing, activating, copying, or using NegCraft, you agree to be bound by this agreement.

1. AGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Out of Gamut Studios LLC ("Licensor") governing your use of the NegCraft software, including all associated plugins, documentation, presets, process curves, templates, supporting files, and digital assets (collectively, the "Software").

By installing, activating, copying, or using the Software, you agree to be bound by the terms of this Agreement.

If you do not agree to these terms, do not install or use the Software.

2. LICENSE GRANT

Licensor grants you a limited, non-exclusive, non-transferable license to use the Software for personal and commercial creative work, subject to this Agreement and the termination provisions below.

Each license is issued to a single user. You may install and activate the Software only on the number of compatible devices permitted by the license terms presented at the time of purchase. Those device limits form part of this Agreement.

3. PERMITTED USE

You may:

* Install and use the Software on your own compatible devices.

* Use the Software for personal or commercial creative projects.

* Produce, publish, exhibit, and sell work created using the Software.

* Use the Software in client work without paying royalties to Out of Gamut Studios.

Ownership of artwork and creative output generated with the Software remains with you.

4. RESTRICTIONS

You may not:

* Share, distribute, resell, sublicense, lease, or transfer your license.

* Share your activation credentials or license key with others.

* Reverse engineer, decompile, disassemble, or attempt to extract the source code except where expressly permitted by applicable law.

* Copy, reproduce, modify, or redistribute the Software or any portion of it without written permission from Out of Gamut Studios.

* Circumvent or interfere with the Software's licensing or activation system.

5. ONLINE ACTIVATION

The Software uses an online licensing and activation system.

An internet connection may be required for initial activation, license validation, or other licensing-related functions.

For these purposes, the Software may transmit information reasonably necessary to validate the license, manage permitted activations, maintain service security, and prevent fraud or abuse. Such information will be handled in accordance with the Out of Gamut Studios Privacy Policy made available on its website.

Attempts to bypass, tamper with, or defeat the licensing system constitute a violation of this Agreement and may result in license termination.

6. INTELLECTUAL PROPERTY

The Software, including its source code, object code, interface design, graphics, documentation, presets, process curves, algorithms, branding, and all related intellectual property, is owned by Out of Gamut Studios LLC and is protected by United States and international copyright and intellectual property laws.

This Agreement grants you a license to use the Software only. No ownership rights are transferred.

7. THIRD-PARTY SOFTWARE

NegCraft is designed for use with Adobe Photoshop.

Adobe and Photoshop are registered trademarks of Adobe Inc.

Out of Gamut Studios is not affiliated with, endorsed by, or sponsored by Adobe.

A valid license for compatible Adobe software is required.

8. UPDATES

Out of Gamut Studios may provide maintenance updates and bug fixes at its discretion but is not obligated to provide any particular update, feature, or level of support.

Major upgrades, new editions, additional features, and future versions may require a separate purchase or an active license. Any applicable eligibility, pricing, or license terms will be disclosed when offered.

9. NO WARRANTY

The Software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Use of the Software is entirely at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the fullest extent permitted by applicable law.

10. PRODUCTION RESPONSIBILITY

NegCraft is intended to assist photographic, digital negative, and alternative photographic printing workflows.

Users are solely responsible for verifying all generated negatives, positives, density, tonal reproduction, printer settings, exposure times, and final output before production.

Out of Gamut Studios shall not be responsible for wasted materials, ink, film, chemistry, paper, printing costs, production delays, or other losses resulting from use of the Software.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Out of Gamut Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of, or inability to use, the Software, including but not limited to loss of profits, loss of data, business interruption, or production errors.

To the fullest extent permitted by law, the total aggregate liability of Out of Gamut Studios LLC arising out of or relating to the Software or this Agreement shall not exceed the amount you actually paid for the Software.

The limitations in this section do not apply to liability that cannot lawfully be excluded or limited.

12. TERMINATION

This Agreement remains in effect until terminated.

Your license will terminate automatically if you materially violate this Agreement. Out of Gamut Studios may also suspend or terminate access to activation services when reasonably necessary to address fraud, license sharing, circumvention, or abuse.

Upon termination, you must cease using the Software and remove all installed copies from your devices.

13. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Nothing in this section deprives a consumer of any mandatory protections provided by the laws of the jurisdiction in which the consumer resides.

14. CONSUMER RIGHTS

Nothing in this Agreement excludes, restricts, or modifies any warranty, guarantee, remedy, or other right that cannot lawfully be excluded, restricted, or modified under applicable consumer protection law.

15. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

16. WAIVER

A failure or delay by Out of Gamut Studios to enforce any provision of this Agreement does not waive its right to enforce that or any other provision later.

17. ENTIRE AGREEMENT

This Agreement, together with the license terms presented at the time of purchase and any applicable Privacy Policy, constitutes the entire agreement between you and Out of Gamut Studios regarding the Software and supersedes prior or contemporaneous communications concerning the Software.

Any amendment to this Agreement must be made in writing by Out of Gamut Studios. If an updated agreement applies to a future update, upgrade, or new purchase, the updated terms will be presented with that offering.
